Amendment to the Charter
July 17, 1984
Pursuant to the provisions of Section 48-303 of the Tennessee General Corporation Act, we, James H. Daughdrill, Jr. and S. Shepherd Tate, the President and Secretary, respectively, of SOUTHWESTERN AT MEMPHIS, incorporated under Chapter 142, Acts of Tennessee of 1875, hereby certify that at a meeting of the Board of Trustees of said corporation legally called and held on June 20, 1984 at the offices of the said corporation in Memphis, Tennessee, a resolution was adopted by said Board of Trustees declaring the desire of the Board of Trustees to apply to the State of Tennessee, by virtue of the general laws of the land, for an amendment to said charter of incorporation for the purpose of investing said corporation with power, as follows:
To change the name of said corporation from
“SOUTHWESTERN AT MEMPHIS”
to
“RHODES COLLEGE”
and the corporate name of this corporation is hereby so changed and the same shall hereafter be called “RHODES COLLEGE”.
NOW, THEREFORE, we hereby certify to the adoption of said resolution by the Board of Trustees for the purposes above set out, to the end that this certificate may be duly recorded in the office of the Secretary of State.
This Amendment shall be effective when filed by the Secretary of State of Tennessee.
