Certificate of Rhodes College Concerning its Amended and Restated Charter 
April 15, 1993

Pursuant to Section 48-60-106(h) of the Tennessee Non-Profit Corporation Act, the undersigned Corporation certifies as follows:

1. The name of the Corporation is Rhodes College.
   
2. The Amended and Restated Charter of Rhodes College is attached hereto as Exhibit A and was duly adopted by the Board of Trustees of Rhodes College on the 15th day of April, 1993.
   
3. The Amended and Restated Charter of Rhodes College contains amendments that require the approval of the Synod of the Living Waters, Presbyterian Church (USA), Inc.
   
4. The Synod of the Living Waters, Presbyterian Church (USA), Inc., duly approved the Amended and Restated Charter of Rhodes College on the 28th day of September, 1993.
